Introduction
These Terms and Conditions ("Terms") govern your access to and use of the website, products, services, and training programs offered by NUEXUS Technologies (Private) Limited ("NUEXUS", "we", "us", or "our"), a company registered in Pakistan (CUIN 0260005). By accessing our website or using our services you agree to be bound by these Terms. Where a separate signed agreement, master services agreement, or statement of work exists between you and NUEXUS, that agreement prevails over these Terms to the extent of any conflict.
1. Definitions
- "Services" means IT solutions, cybersecurity services, software development, cloud and network services, consulting, managed services, and training provided by NUEXUS.
- "Client" or "you" means any individual or entity that accesses our website or engages our Services.
- "Deliverables" means reports, code, documentation, and other materials we provide under an engagement.
- "SOW" means a statement of work or proposal describing the scope, fees, and timeline of a specific engagement.
2. Acceptance of Terms
By using our website or Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, Cookie Policy, and Disclaimer. If you do not agree, you must not use the website or Services.
3. Eligibility
You must be at least 18 years of age and capable of forming a legally binding contract under applicable law. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
4. Services Overview
NUEXUS provides cybersecurity, artificial-intelligence and machine-learning, software development, blockchain, cloud, network-infrastructure, IT-consulting, managed services, and professional training. We may modify, suspend, or discontinue any part of the Services at our discretion and will use reasonable efforts to notify users of significant changes.
5. Professional Services & Scope of Work
Engagements are defined by a written SOW or proposal specifying scope, deliverables, timelines, assumptions, and fees. Work outside an agreed scope ("change requests") may require a written amendment and additional fees. You agree to provide timely access, information, approvals, and cooperation reasonably required for us to perform. Delays caused by such dependencies may affect timelines and costs.
6. Authorization for Security Testing
Where Services include penetration testing, vulnerability assessment, red-teaming, or any other security testing, you expressly represent, warrant, and agree that:
- You own, or are fully authorised by the lawful owner to authorise testing of, every system, network, application, account, and asset within the agreed scope.
- You will provide written authorisation (including the scope, targets, and testing window) before any testing begins, and you will obtain any consents required from third parties, hosting providers, or employees.
- Testing is performed strictly within the authorised scope and time window; NUEXUS will not knowingly act outside it.
- Security testing carries inherent risk (including service disruption or data exposure); you are responsible for maintaining current backups and, where appropriate, testing non-production environments.
- You will not use any Deliverable, tool, technique, or finding for unlawful purposes or against any system you are not authorised to test.
You agree to indemnify NUEXUS against any claim arising from your breach of these representations.NUEXUS reserves the right to suspend or decline any work it reasonably believes lacks proper authorisation.
7. Training Programs
By enrolling in any training program, you agree that:
- Fees & payments: training fees are payable in full before the start date unless otherwise specified, and are non-refundable except as set out in Section 9.
- Certification: completing a program does not by itself guarantee certification, which may require additional exams or criteria; nor does it guarantee employment or any specific outcome.
- Intellectual property: all course materials remain the property of NUEXUS and may not be reproduced or redistributed without written consent.
- Code of conduct: participants must behave professionally; disruptive or unlawful conduct may result in removal without refund. Skills taught must be used lawfully and ethically only.
8. Account Registration & Security
Some Services require an account. You agree to provide accurate information, keep your credentials confidential, and notify us immediately of any unauthorised access. You are responsible for activity under your account. We may suspend accounts that pose a security or compliance risk.
9. Fees, Payments & Refunds
Fees are set out in the applicable SOW, proposal, or program listing and are payable in the stated currency by the due date. Unless expressly stated, fees exclude applicable taxes, which you are responsible for. Late payments may incur suspension of Services. Refunds, where offered, follow the cancellation terms of the relevant SOW or program; engagements already performed are non-refundable.
10. Acceptable Use, AI Assistant & Submissions
When using our website and Services, you agree not to:
- Violate any applicable law or regulation, or infringe any third party's rights.
- Introduce malware, attempt unauthorised access, or disrupt or attack our or others' systems.
- Reverse engineer, scrape, or misuse the website, Services, or Deliverables except as permitted by law.
- Use our content, tools, or training to facilitate any unlawful or malicious activity.
- Impersonate others or provide false information.
AI Assistant ("Nexi")
Our website provides an AI chat assistant called Nexi to help answer general questions and route enquiries. Nexi provides general information for convenience only and does not constitute professional, legal, security, or financial advice; responses may be incomplete or inaccurate, and you should not rely on them as a substitute for a formal engagement or written proposal. You agree not to attempt to manipulate, jailbreak, or misuse the assistant, submit content designed to extract its instructions, or use it to generate unlawful, abusive, or harmful material. Conversations (including any details you provide) may be stored, reviewed, and handled by our team, and a human representative may take over the chat at any time to assist you.
To prevent spam, automated abuse and to control operating cost, we may require you to verify that you are a real person before the assistant responds, by confirming a one-time code sent to your email or phone, or by signing in to a NUEXUS account. We apply rate limits and may throttle, block or refuse access, and maintain a block/spam list, where we reasonably detect bots, automation or misuse. You must not use bots, scripts or false contact details, or attempt to bypass verification. Your use of Nexi is also governed by our AI Assistant Acceptable Use & Verification Policy.
Files & User Submissions
Where the website lets you upload files or submit information (for example a CV, project brief, or screenshot through Nexi or a contact form), you represent that you have the right to share that content, that it does not infringe any third-party right, and that it is free of malware. You grant NUEXUS a limited right to store and process such submissions for the purpose of responding to your enquiry, evaluating applications, and delivering the Services. Do not upload sensitive personal data, credentials, or confidential third-party information unless necessary for the engagement. We may scan, decline, or remove any submission and may impose reasonable limits on file type and size. Submissions are handled in line with our Privacy Policy.
11. Intellectual Property
All content on the website and in our Services, including text, graphics, logos, software, and training materials, is owned by or licensed to NUEXUS and protected by intellectual-property laws. Ownership of bespoke Deliverables is governed by the relevant SOW; absent a contrary written term,NUEXUS retains ownership of its pre-existing materials, tools, and methodologies. You may not reproduce, modify, distribute, or use our content without prior written consent. Scraping our content or using it to train AI or machine-learning models is prohibited. 12. Confidentiality & Non-Disclosure
Each party may receive confidential information from the other. Both parties agree to protect such information, use it only for the purpose of the engagement, and not disclose it without consent, except as required by law. Security findings, reports, and engagement details are treated as strictly confidential. These obligations survive termination. Separate non-disclosure agreements, where signed, also apply.
13. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data-protection law. Where we process personal data on your behalf as part of an engagement, we act as your data processor under the terms of the relevant agreement and process such data only on your documented instructions.
14. Third-Party Services & Links
Our website and Services may rely on or link to third-party products and websites. We are not responsible for the content, policies, or practices of third parties, and your use of them is at your own risk and subject to their terms.
15. Warranties & Disclaimers
We will perform Services with reasonable skill and care consistent with industry standards. Except as expressly stated, the website and Services are provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Security assessments identify risks known at a point in time and do not guarantee that systems are or will remain free of vulnerabilities or immune to attack. Automated features, including the Nexi AI assistant, are provided without warranty as to accuracy or completeness, and their output does not constitute professional advice.
16. Limitation of Liability
To the maximum extent permitted by law, NUEXUS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption, arising from or related to the website or Services. Our total aggregate liability for any claim shall not exceed the fees paid by you for the specific Service giving rise to the claim in the twelve (12) months preceding the event. Nothing limits liability that cannot be excluded by law.
17. Indemnification
You agree to indemnify and hold harmless NUEXUS, its affiliates, officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, your breach of the security-testing authorisation in Section 6, or your infringement of any third-party right.
18. Term & Termination
We may suspend or terminate access to the website or Services at any time for breach of these Terms, legal requirements, or conduct that harms NUEXUS or others. Termination of an engagement is governed by the relevant SOW. Provisions that by their nature should survive (including confidentiality, IP, liability, and indemnity) survive termination.
19. Force Majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, power or internet failures, cyber-attacks, or pandemics.
20. Governing Law & Jurisdiction
These Terms are governed by the laws of Pakistan. Subject to Section 21, the courts of Islamabad, Pakistan have exclusive jurisdiction over any dispute. As we expand internationally, governing- law provisions may be supplemented to reflect applicable laws in other jurisdictions.
21. Dispute Resolution
The parties will first attempt in good faith to resolve any dispute through negotiation. If unresolved within thirty (30) days, the dispute may be referred to arbitration or the competent courts of Pakistan in accordance with applicable law. Each party bears its own costs unless otherwise determined.
22. International Use
We may provide Services globally. If you access the Services from outside Pakistan, you are responsible for compliance with your local laws. We may restrict access to certain Services based on legal or geographic limitations.
23. General Provisions
- Entire agreement: these Terms, together with any SOW and our policies, constitute the entire agreement between the parties on their subject matter.
- Severability: if any provision is held invalid, the remainder stays in effect.
- Waiver: failure to enforce a provision is not a waiver of it.
- Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Notices: notices to NUEXUS should be sent to the contact details below.
24. Changes to These Terms
We may revise these Terms to reflect changes in our Services or legal requirements. Updates are posted on this page with a revised "Last Updated" date, and continued use of the Services constitutes acceptance of the updated Terms.
